You should update this document to reflect your T&C.

Shankaranarayana Life Sciences LLP (SNLS)

  1. The client explicitly waives their own standard terms and conditions, even if such terms are presented after these SNLS terms. Any exceptions or deviations from these terms must be agreed upon expressly and in writing by SNLS in advance. These terms shall govern all transactions unless otherwise mutually decided.
  2. Delivery will generally be completed within 1 week from the date of order confirmation, subject to availability and logistical considerations. SNLS will make every reasonable effort to meet the expected delivery timelines, but shall not be held liable for delays due to unforeseen circumstances.
  3. Payments must be made immidiately after delivery, unless otherwise stated on the invoice or mutually agreed upon in writing. In the event of delayed payment, SNLS reserves the right to apply an interest charge of 10% on the outstanding amount. Continued non-payment beyond 60 days may result in the matter being referred to a third-party debt recovery agency, and all associated legal and collection costs shall be borne by the client. SNLS also reserves the right to suspend further deliveries or services without prior notice in case of overdue payments.
  4. For international transactions, withholding taxes or other deductions as per local legislation are the sole responsibility of the client. SNLS will not be liable for any such costs, and expects the full invoice amount to be remitted, regardless of deductions required by the client's local tax authorities.
  5. SNLS is dedicated to delivering high-performance, quality-driven solutions in a timely manner. However, our obligations are best-effort in nature and shall not be construed as a commitment to guaranteed results. Under no circumstances shall SNLS be held liable for any indirect, incidental, or consequential damages. Furthermore, SNLS will not act as a third party in any disputes or legal actions involving the client and their end users.
  6. Any claims concerning goods or services provided by SNLS must be submitted in writing and sent via registered mail to our official address within 8 days of receipt. Claims received after this period will not be considered valid or actionable.
  7. All transactions, contracts, and relations with SNLS shall be governed exclusively by Indian law, and any disputes shall fall under the jurisdiction of the competent courts in Karnataka, India.
